MyHub Terms of Use
Effective Date: 01 August 2025
Welcome to MyHub Intranet Solutions (“MyHub,” “we,” “our,” or “us”). These Terms of Use govern access to and use of the MyHub platform by:
- Subscribing Organisations (“Customer,” “you”) — companies that have purchased a MyHub subscription.
- Authorised Users — individuals (such as employees, contractors, or agents) whom the Customer has permitted to access the platform.
By accessing or using MyHub, both the Customer and Authorised Users agree to comply with these Terms and the MyHub Privacy Statement, which is incorporated by reference into these Terms.
1. Customer Responsibilities
- Subscription & Payment – The Customer must maintain an active subscription under a separate commercial agreement with MyHub and pay all applicable fees.
- User Management – The Customer is responsible for creating, managing, and removing Authorised User accounts, and ensuring each user complies with these Terms and the Privacy Statement.
- Data Accuracy – The Customer is responsible for the accuracy, quality, and legality of all data entered into MyHub.
- Compliance – The Customer must ensure that its collection, use, and disclosure of personal information in MyHub complies with all applicable laws, including the Australian Privacy Act 1988 (Cth), the Australian Privacy Principles (APPs), and the GDPR where applicable.
2. Acceptable Use
To protect the integrity, security, and reliability of the MyHub platform, all Customers and Authorised Users must comply with the following requirements:
- Lawful Use – The platform must only be used for lawful purposes and in accordance with these Terms. You must not use MyHub to store, share, or transmit any material that is unlawful, defamatory, offensive, obscene, harassing, or infringes the rights of others.
- Account and Credential Security – Login credentials must be kept secure and not shared. You are responsible for all activities conducted under your account.
- System Integrity and Security – You must not:
- Attempt to gain unauthorised access to any part of the MyHub platform, accounts, systems, or networks
- Attempt to bypass or disable any security controls
- Access or attempt to access data not intended for you
- Introduce malware, viruses, or other harmful code
- Perform or attempt any vulnerability scanning, penetration testing, or other security testing without MyHub’s prior written consent
- Overload, interfere with, or disrupt the platform’s normal operation in any way
- Data Protection – You must not upload, share, or process personal information in a way that breaches applicable privacy laws or the MyHub Privacy Statement.
- Intellectual Property Compliance – You must not copy, modify, distribute, or create derivative works of any part of the MyHub platform or its content without prior written permission from MyHub.
3. Intellectual Property
- All intellectual property in MyHub, including the software, design, text, images, and trademarks, is owned by MyHub or its licensors.
- Customers and Authorised Users are granted a non-exclusive, non-transferable licence to use MyHub for the Customer’s internal business purposes only.
- No rights are granted to copy, modify, distribute, or create derivative works unless expressly permitted in writing.
4. Privacy and Data Protection
- MyHub handles all personal information in accordance with its Privacy Statement, which includes details on:
- Hosting location and cross-border transfers to Amazon Web Services (AWS) in the United States
- Compliance with APP 8 for overseas disclosures and GDPR requirements where applicable
- Technical and organisational safeguards such as encryption, access controls, and regular security audits
- Procedures for reporting and managing notifiable data breaches under both the Australian NDB scheme and GDPR
- The Customer is the “data controller” (or equivalent under applicable laws) for all personal information stored in MyHub, and MyHub acts as the “data processor” (or equivalent).
- By using MyHub, the Customer and Authorised Users consent to the processing and hosting of personal information as described in the Privacy Statement.
5. Third-Party Services
- MyHub may integrate with third-party services. The Customer and Authorised Users’ use of such services is subject to the third party’s terms and privacy policy.
- MyHub is not responsible for third-party services or their handling of data.
6. Service Availability and Changes
- MyHub aims for high service availability but does not guarantee uninterrupted or error-free operation.
- We may modify, suspend, or discontinue features at any time.
- If MyHub materially reduces core functionality, we will provide reasonable prior notice to the Customer.
7. Termination and Suspension
- MyHub may suspend or terminate access for any Authorised User who breaches these Terms or the Privacy Statement.
- Access for all Users will cease if the Customer’s subscription ends.
- The Customer remains responsible for payment of any fees due up to the termination date.
8. Liability and Disclaimers
- MyHub is provided “as is” without warranties of any kind, except as required by law.
- To the extent permitted by law, MyHub’s liability is limited to the fees paid by the Customer in the 12 months prior to the event giving rise to the claim.
- MyHub is not liable for indirect, incidental, or consequential losses.
9. Governing Law
- These Terms are governed by the laws of New Zealand, and any disputes will be resolved in New Zealand courts.
