MyHub Terms of Use
Effective Date: 01 October 2025
Welcome to MyHub Intranet Solutions (“MyHub,” “we,” “our,” or “us”).
These Terms of Use (“Terms”) govern access to and use of the MyHub platform by:
- Subscribing Organizations (“Customer,” “you”) – companies that have purchased a MyHub subscription; and
- Authorized Users – individuals (such as employees, contractors, or agents) whom the Customer has permitted to access the platform.
By accessing or using MyHub, both the Customer and Authorized Users agree to comply with these Terms and our Privacy Statement, which is incorporated by reference.
1. Customer Responsibilities
- Subscription and Payment: The Customer must maintain an active subscription under a separate commercial agreement with MyHub and pay all applicable fees.
- User Management: The Customer is responsible for creating, managing, and removing Authorized User accounts, and ensuring that each user complies with these Terms and the Privacy Statement.
- Data Accuracy: The Customer must ensure the accuracy, quality, and legality of all data entered into MyHub.
- Compliance: The Customer must ensure that its collection, use, and disclosure of personal information within MyHub comply with all applicable laws, including the New Zealand Privacy Act 2020, the Australian Privacy Act 1988, and the GDPR where applicable.
2. Acceptable Use
To protect the integrity, security, and reliability of the MyHub platform, all Customers and Authorized Users must comply with the following:
- Use the platform only for lawful purposes. Do not upload, share, or transmit any material that is unlawful, defamatory, offensive, obscene, harassing, or infringes the rights of others.
- Keep login credentials secure and do not share them. You are responsible for all actions taken under your account.
- Do not attempt unauthorized access to accounts, systems, or data; bypass or disable security features; or introduce viruses, malware, or other harmful code.
- Do not perform penetration testing or other security scans without MyHub’s prior written consent.
- Do not overload, interfere with, or disrupt the operation of the platform.
- You must not upload or process personal information in violation of applicable privacy laws or the MyHub Privacy Statement.
- You may not copy, distribute, modify, or create derivative works of the MyHub platform or its content without written permission.
3. Intellectual Property
All intellectual property in MyHub, including its software, design, text, images, and trademarks, is owned by MyHub or its licensors. Customers and Authorized Users are granted a non-exclusive, non-transferable licence to use MyHub solely for internal business purposes.
No rights are granted to copy, modify, distribute, or create derivative works unless expressly permitted in writing.
4. Privacy and Data Protection
MyHub handles all personal information in accordance with its Privacy Statement, which includes details about hosting, security, and cross-border data transfers. The Customer is deemed the data controller (or agency) for all personal information stored in MyHub, and MyHub acts as the data processor (or service provider). By using MyHub, you consent to the processing and hosting of personal information as described in the Privacy Statement.
5. Third-Party Services and SuperPath Integration
MyHub may integrate or rely on third-party services. Use of those services is subject to their respective terms and privacy policies.
MyHub Learning powered by SuperPath
- MyHub offers a learning platform service under the name MyHub Learning, delivered using technology provided by 8am Holdings Pty Ltd (“SuperPath”).
- MyHub remains your contracting party and manages billing, onboarding, account administration, and support.
- SuperPath retains all ownership rights to its software, platform, and underlying intellectual property.
- You are granted a limited, non-transferable licence to access and use the SuperPath platform exclusively through your MyHub subscription.
- You authorize MyHub to share limited user data (such as name, email address, role, and learning activity) with SuperPath for the purposes of provisioning accounts, reporting, analytics, and technical support.
- SuperPath acts solely as a data processor under contract with MyHub, subject to a Data Processing Addendum (DPA) requiring confidentiality, security, and breach-notification obligations.
- You must not decompile, reverse-engineer, or attempt to reconstruct any part of the SuperPath platform.
- MyHub coordinates all escalations and remains responsible for customer communication and support.
6. Service Availability and Changes
MyHub strives for high availability but does not guarantee uninterrupted or error-free operation.
We may modify, suspend, or discontinue platform features at any time. If we materially reduce core functionality, we will provide reasonable prior notice to the Customer.
7. Termination and Suspension
MyHub may suspend or terminate access for any Authorized User who breaches these Terms or the Privacy Statement. Access for all users will cease if the Customer’s subscription ends.
The Customer remains liable for any fees due up to the date of termination.
8. Liability and Disclaimers
The MyHub platform is provided “as is” without warranties except as required by law. To the maximum extent permitted, MyHub’s total liability for any claim is limited to the fees paid by the Customer in the preceding twelve months. MyHub is not liable for indirect, incidental, or consequential losses, including loss of profits, data, or goodwill.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of New Zealand. Any disputes will be resolved exclusively by the courts of New Zealand.
10. Changes to These Terms
We may modify these Terms at any time. We will notify you of any material changes, and your continued use of MyHub constitutes acceptance of the updated Terms.
